Terms of Use

Last updated: August 27, 2026. These terms govern your use of Brickly.

1. Acceptance of these terms

By creating a Brickly account, joining a waitlist, browsing the marketplace, or buying or selling shares, you agree to these Terms of Use and the Privacy Policy. If you do not agree, do not use the platform.

Brickly is operated by Brickly. These terms apply to all visitors, whether or not they hold an account.

2. What Brickly is, and what it is not

Brickly is a platform that lets sponsors list income producing real estate, and lets investors buy fractional shares of those properties. Each property is split into a fixed number of $100 shares. Rent from the property is distributed to shareholders in proportion to the shares they hold.

Brickly is not a broker dealer, an investment adviser, or a registered securities exchange. Offerings shown on the marketplace are not a recommendation to buy any particular property or share. You are responsible for your own investment decisions.

Browsing Brickly, joining a waitlist, or creating an account does not constitute purchasing an investment, and creates no right to shares and no obligation on your part or ours. No money is solicited or accepted on this site. Any future investment would occur only under official offering documents and, where required, through an SEC registered broker dealer or funding portal.

3. Eligibility

You must be at least 18 years old and legally able to enter a binding contract to open an account. By registering, you confirm that the information you give is accurate and current.

4. Your account

You are responsible for keeping your password and account credentials secure, and for all activity under your account. Tell us right away if you believe your account has been compromised. You agree not to share access, or create an account for someone else without their consent.

5. Buying and selling shares

Each property listing shows the share price, the percentage of the property offered, the target yield, and the cap rate. A 0.5% transaction fee applies to each buy and each sell. Target yields of 8 to 12% are based on each property's underwriting and are not guaranteed.

Rent is paid on the 1st of each month, in proportion to the shares you hold at the close of the prior month. If a property is sold, shareholders participate in any gain or loss in the same proportion.

6. No guarantee of returns

Property income depends on tenants paying rent and, for vacation rentals, on nightly bookings, which are seasonal. Property values can rise or fall. Rent can be reduced, tenants can leave, and liquidity for selling shares is not guaranteed. You could lose some or all of the money you invest.

7. Fees

A 0.5% transaction fee applies to each buy and sell. Brickly may add or change fees with notice. Any future fee schedule will be posted here before it takes effect.

8. Acceptable use

You agree not to misuse the platform, not to attempt to access areas you are not authorized to reach, not to submit inaccurate property or account data, and not to interfere with the proper working of the site. Brickly may suspend or close accounts that violate these rules.

9. Listings and third party content

Property listings, images, cap rates, and yield targets are provided by sponsors or third parties. Brickly does not independently appraise every building and does not warrant that any listed figure is final. You should review each offering's materials before you invest.

10. Limitation of liability

To the fullest extent allowed by law, Brickly is not liable for indirect, incidental, or consequential damages arising from your use of the platform, including any loss on an investment. Brickly's total liability for any claim is limited to the fees you paid us in the prior 12 months.

11. Intellectual property

The Brickly name, logo, site design, text, and original content are owned by Brickly and may not be copied or reused without permission. Property photos and listing materials are owned by their respective sponsors or licensors and are shown for informational purposes.

12. Disputes and governing law

These terms are governed by the laws of the State of Florida, without regard to conflict of law rules. Any dispute arising from your use of the platform will be resolved through binding individual arbitration rather than in court, and you waive the right to participate in a class action, to the fullest extent permitted by law.

13. Changes to these terms

We may update these terms as the platform evolves. Material changes will be posted here with a new effective date. Continued use after a change means you accept the updated terms.

14. Contact

Questions about these terms can be sent to hello@bricklyinvesting.com. See also the Privacy Policy for how your data is handled.
