Disclosures and Risk Factors

Please read these disclosures in full before relying on anything you see on Brickly. They apply to every page, listing, chart, estimate, and calculator on this site.

1. No offer, no solicitation

Nothing on this site is an offer to sell, or a solicitation of an offer to buy, any security or interest in any property. Any future offering will be made only through official offering documents that describe the specific terms, fees, and risks of that offering.

Property pages, marketplace listings, waitlist forms, and calculators are informational. Joining a waitlist creates no obligation for you and no commitment from Brickly to allocate shares to you.

Testing the waters: Brickly is currently gauging investor interest only. No money or other consideration is being solicited or accepted, and no offer to buy securities can be accepted at this time. If an offering is ever made, it will be made only after any required filings and only through the appropriate regulated channel. Any indication of interest involves no obligation or commitment of any kind.

1A. How an offering would work

If Brickly ever offers securities, the offering would be conducted under an applicable exemption and, where required, through an SEC registered broker dealer or funding portal, not directly through this website. The intermediary, not this site, would handle investor education, offering materials, and the acceptance of funds.

Offering documents for any live offering would describe the acquisition price, valuation basis, ownership and entity structure, any debt, the property manager, fees, offering expenses, the assumptions behind any projected return, and any conflicts of interest, including any relationship between a property seller and Brickly or its founders. Those documents would control over anything shown on this site.

2. Not advice

Brickly does not provide investment, legal, tax, or accounting advice. No content on this site is a recommendation that any particular investment is suitable for you. Consult your own licensed advisers before investing.

Brickly is not a broker dealer, an investment adviser, a registered securities exchange, or a bank.

3. Illustrative figures and forward looking statements

Yields, monthly income, appreciation, sale payouts, charts, and calculator outputs shown anywhere on this site are hypothetical illustrations based on assumptions we selected. They are not promises, projections of actual performance, or guarantees of any outcome.

Statements about future rent, occupancy, valuations, or sale prices are forward looking. Actual results will differ, and they may differ materially. Past performance and prior property performance do not predict future results.

4. You can lose money

Real estate investments carry risk of partial or total loss of principal. Rent can fall, tenants can default or vacate, insurance and property taxes can rise, storms and other casualty events can damage a property, financing costs can increase, and market values can decline.

Vacation rental income is seasonal and depends on nightly bookings, local regulation, and travel demand, so it is more variable than income from a long term commercial lease.

Distributions are made only from cash actually available after expenses and reserves. Distributions can be reduced, suspended, or stopped at any time.

5. Illiquidity

Fractional property shares are illiquid. There is no public market for them, and a resale market may never develop or may have very few buyers. You should be prepared to hold your investment for the full life of the property, which may be many years.

Any hold period, exit timeline, or sale scenario shown on this site is an assumption, not a commitment to sell the property on that timeline or at that price.

6. Fees and costs

Transactions carry a platform fee, currently 0.5% of the transaction amount. Properties also carry ongoing costs such as management, maintenance, insurance, property taxes, and reserves. Illustrations may show figures before some of these costs.

Fees reduce your net return. The specific fees that apply to an offering will be disclosed in that offering's documents.

7. Property information and third party content

Property descriptions, valuations, photos, maps, tenant details, and location data come from public sources, listing services, sponsors, or third parties. We believe them to be reasonable at the time of publication but we do not warrant their accuracy or completeness, and information can become out of date.

Named tenants or brands referenced in a listing are tenants only. They are not sponsors, partners, or endorsers of Brickly or of any offering, and their inclusion does not imply any affiliation.

Maps and imagery are provided by third parties and are approximate.

8. Eligibility and jurisdiction

Access to any offering may be limited by law to certain jurisdictions and to investors who meet specific eligibility requirements. Nothing here is directed at any person in a jurisdiction where such an offer or solicitation would be unlawful.

You are responsible for complying with the laws that apply to you.

9. Taxes

Distributions and any gain on sale may be taxable, and tax treatment depends on your personal circumstances and jurisdiction. Brickly does not provide tax advice. Consult a qualified tax professional.

10. No insurance

Investments made through Brickly are not bank deposits. They are not insured or guaranteed by the FDIC, SIPC, or any other government agency or private insurer.

11. Security and your account

We use encryption in transit, encryption at rest for stored data, hashed credentials, row level access controls so an investor can read only their own records, and server side authorization on privileged actions. No system can be guaranteed to be completely secure.

You are responsible for keeping your password confidential and for all activity under your account. Tell us immediately if you suspect unauthorized access. See our Privacy Policy for how we handle personal data.

12. Limitation of liability

To the maximum extent permitted by law, Brickly and its officers, employees, and affiliates are not liable for any loss arising from your reliance on information published on this site, including any illustration, estimate, or calculator output.

These disclosures supplement, and do not replace, our Terms of Use and Privacy Policy.
